TERMS OF SERVICE

This agreement outlines the teaching services and other services that Bridge the Gap Language Services provides, learner expectations, and the terms of payment.

Our Services

Bridge the Gap Language Services LLC (also known as ‘BTG Spanish’) is a learning service and community that provides programming designed to help improve a Learner’s Spanish conversational skills through our Bridge the Gap Membership Community and grammar and conversation classes.

Our Community Membership ($39/month or $299/year) provides access to our virtual community.

Our Lite Package (The Foundation) ($179/month or $1699/year) includes one personalized conversation class per week with a matched native conversation teacher, access to BTG Spanish grammar materials, access to the BTG Spanish Community, quarterly progress reports, and a 48-hour reschedule window for scheduled classes.

Our Full Package (The Deep Dive) ($499/month or $3999/year) includes three classes per week with a matched native conversation teacher — a mix of conversation and grammar classes — access to BTG Spanish grammar materials, access to the BTG Spanish Community, a 24-hour reschedule window for scheduled classes, quarterly progress reports, and four quarterly coaching sessions.

From time to time, Bridge the Gap Language Services, LLC may offer additional services outside of the membership tiers described above, including but not limited to single-session group classes, workshops, intensives, or custom engagements for organizations or individuals. The specific terms governing such services — including pricing, scheduling, deliverables, and cancellation — will be outlined in a separate proposal or service agreement provided at the time of engagement.

Where a separate proposal or service agreement exists, its terms will govern and supersede any conflicting provisions in this Agreement to the extent necessary. Provisions of this Agreement that are not applicable to the nature of the services being rendered (such as recurring billing, month-to-month cancellation, or platform access terms) shall not apply to those engagements.

By accepting a proposal or making payment for any such service, the client agrees to the terms set forth in that proposal in addition to the applicable terms of this Agreement.

Bridge the Gap Language Services LLC makes no guarantees that programs will result in a certain improved conversation skill level for you (the Learner). Bridge the Gap Language Services LLC will provide classes as determined by the package chosen by the Learner.Changes to your package option can be made in your Circle account. Brige the Gap Language Services LLC is not responsible for and will not offer any refund for any subscriptions that Learner intended to cancel before being charged.

Organizational Agreement on Behalf of Participants

Where services are rendered to a group organized or sponsored by a company, institution, or other organization, the authorized representative of that organization may accept these terms on behalf of the participants in that engagement. By accepting these terms, the organization represents and warrants that it has the authority to do so and that participants will be made aware of the terms governing their participation. In such cases, the organization assumes responsibility for ensuring participant compliance with the applicable terms of this Agreement.

Billing Terms

Payment Schedule

Services are billed on a recurring monthly or annual basis. By enrolling in a BTG Spanish program, you authorize Bridge the Gap Language Services, LLC to charge your payment method automatically on the date of your initial enrollment and on the same calendar date each month or year thereafter until your subscription is cancelled. No invoice will be issued prior to automatic charges.

Accepted Payment Methods

Payments are processed securely through Stripe. By enrolling, you authorize Stripe to store your payment method on file for recurring billing purposes on behalf of Bridge the Gap Language Services, LLC. You are responsible for ensuring your payment information remains current and accurate within your BTG Spanish Community account on Circle. Bridge the Gap Language Services, LLC is not responsible for failed charges resulting from outdated or invalid payment information.

Third-Party Payment Processing

Payments are processed through Stripe, a third-party payment processor. By enrolling in a BTG Spanish program and providing your payment information, you agree to be bound by Stripe’s Terms of Service and Privacy Policy, which can be found at stripe.com/legal and stripe.com/privacy respectively. Bridge the Gap Language Services, LLC does not store or have direct access to your full card or payment details. Transaction and billing information is handled and secured by Stripe in accordance with their applicable data security standards. 

Bridge the Gap Language Services, LLC is not responsible for any errors, outages, data breaches, or other issues arising from Stripe’s platform or services. Any concerns related to payment processing, data security, or unauthorized charges should be directed to Stripe directly in addition to notifying Bridge the Gap Language Services, LLC at hola@btgspanish.com.

Failed Payments

If a scheduled charge fails, Bridge the Gap Language Services, LLC reserves the right to suspend access to program materials, the BTG Spanish community platform, and scheduled sessions with conversation teachers until payment is successfully processed. Bridge the Gap Language Services, LLC may attempt to reprocess a failed charge and will notify the learner via email. In the event that any payment remains unresolved, the collections terms below will apply.

Returned or Disputed Payments

In the event that any charge is reversed, disputed, or returned for any reason, the learner shall be responsible for a returned payment fee of $25,, in addition to any fees assessed by Stripe or the learner’s financial institution. Bridge the Gap Language Services, LLC reserves the right to require alternative payment arrangements following a returned or disputed charge.

Cancellation Policy

Cancellation by Learner

Subscriptions are month-to-month or year-to-year and the learner is solely responsible for managing and cancelling their subscription. Cancellations must be completed by the learner directly through their BTG Spanish Community account on Circle prior to the next scheduled billing date. Cancellations submitted by any other method will not be accepted. Bridge the Gap Language Services, LLC does not monitor enrollment intent on behalf of learners and will not issue refunds for charges that occur due to a failure to cancel before the next billing date.

All fees paid are non-refundable. No refunds will be issued for the current billing cycle, any prior billing cycles, or prepaid amounts in the event of an intended cancellation.

Cancellation by Bridge the Gap Language Services, LLC

Bridge the Gap Language Services, LLC reserves the right to cancel or terminate enrollment for any learner who violates the terms of this Agreement, the BTG Spanish Community Code of Conduct, or engages in conduct detrimental to other learners or teachers. No refund will be issued in the event of termination for cause.

Program Changes

Bridge the Gap Language Services, LLC reserves the right to modify program content, pricing, scheduling, or teacher assignments at any time. Learners will be notified of pricing changes in advance of the next billing cycle. Continued enrollment following notification of a pricing change constitutes acceptance of the updated rate.

Collections

In the event that any amount due under this Agreement remains unpaid following suspension of services and reasonable collection efforts, Bridge the Gap Language Services, LLC reserves the right to pursue collection through all available legal means. The learner agrees to be responsible for all costs of collection, including reasonable attorney’s fees and court costs, to the fullest extent permitted by Missouri law.

Our Use of AI in Learning Materials

At Bridge the Gap Language Services LLC, we use AI tools responsibly to help create some of our grammar learning materials, ensuring a dynamic and engaging experience for our learners. While AI assists in generating content, all materials are carefully reviewed and refined to maintain accuracy, clarity, and effectiveness. We encourage the responsible use of AI as a supplementary resource to support, but not replace, active language learning and real-world practice.

Intellectual Property

All program materials, content, and methodologies provided by Bridge the Gap Language Services, LLC — including but not limited to the 12 Logro Method (as known as 12 Milestone Framework), curriculum materials, lesson content, worksheets, grammar resources, video content, audio recordings, email communications, community posts authored by Bridge the Gap Language Services, LLC, and any other proprietary tools or frameworks — are the sole and exclusive intellectual property of Bridge the Gap Language Services, LLC. All rights are reserved.

Nothing in this Agreement grants the learner any ownership interest in, or license to reproduce, distribute, modify, resell, or create derivative works from, any BTG Spanish program materials or methodologies. Materials provided to learners are for personal, non-commercial use only and may not be shared, reproduced, or distributed in any form without the prior written consent of Bridge the Gap Language Services, LLC.

Any unauthorized use, reproduction, or distribution of BTG Spanish intellectual property may result in immediate termination of enrollment without refund, in addition to any available legal remedies.

Anti-Harassment Policy

Bridge the Gap Language Services LLC is committed to maintaining a safe, respectful, and inclusive learning environment for all participants. Harassment, discrimination, or any form of inappropriate behavior will not be tolerated under any circumstances. This includes, but is not limited to:

Verbal, physical, or written abuse

Offensive comments related to race, gender, sexual orientation, disability, religion, or other personal characteristics

Unwelcome advances, inappropriate jokes, or other behavior that creates a hostile or uncomfortable environment

Learners are expected to engage with instructors, fellow participants, and staff in a respectful and professional manner at all times.

Violation of this policy may result in removal from the program without refund, and, if necessary, the incident may be reported to the appropriate authorities. By signing this contract, the Learner agrees to abide by this policy and contribute to a positive learning experience for all.

 

Independent Contractor Acknowledgment and Limitation of Liability

The Learner acknowledges and agrees that all teachers, instructors, or tutors (“Contracted Teachers”) engaged by Bridge the Gap Language Services LLC provide services as independent contractors and not as employees, agents, or representatives of the Company. Accordingly, Bridge the Gap Language Services LLC shall not be held liable or responsible for any acts, omissions, representations, conduct, or services provided by Contracted Teachers, including but not limited to their professional performance, personal behavior, or interactions with clients. The Learner acknowledges that any claims, disputes, or liabilities arising out of or relating to the actions or omissions of Contracted Teachers shall remain the sole responsibility of the Contracted Teacher involved. The Learner may notify the Bridge the Gap Language Services LLC of any concerns, and while the Bridge the Gap Language Services LLC shall not be held liable for such matters, the Bridge the Gap Language Services LLC may, at the Learner’s request, reassign the Learner to another teacher(s).

 

Service Acceptance & Dispute Notifications

The learner will be deemed to have accepted the services rendered for a given session unconditionally unless a written claim is submitted via email to hola@btgspanish.com within three (3) days of the date of the alleged incident. Qualifying claims are limited to documented service failures including, but not limited to, teacher no-shows, consistent last-minute cancellations by a conversation teacher, or evidence of unprofessional conduct by a conversation teacher. Claims submitted outside of this window will not be considered.

 

Scheduled Program Closures

In recognition of designated rest periods for Bridge the Gap Language Services, LLC conversation teachers, no sessions will be scheduled or provided during the following periods each year:

Thanksgiving weekend: Thursday through Sunday

Winter break: December 24 (Christmas Eve) through January 1 (New Year’s Day)

Good Friday (date varies annually)

These closures are built into the program structure and do not affect the monthly or annual cost of enrollment. The Learner will not receive a credit, discount, or refund for sessions that fall within these periods.

 

Community Platform— Terms of Use

The BTG Spanish Community is hosted on a third-party platform (Circle). By creating an account and participating in the BTG Spanish Community, you agree to the following terms.

1. Content License

By posting any content in the BTG Spanish Community — including but not limited to text, photos, videos, voice recordings, and any other media — you grant Bridge the Gap Language Services, LLC a non-exclusive, royalty-free, perpetual, worldwide license to use, reproduce, distribute, and display your content for promotional and marketing purposes across any platform or medium, including but not limited to social media, websites, email marketing, and advertising materials. No compensation or royalties will be paid for such use.

2. Ownership

You retain full ownership of any content you post. The license granted above does not transfer ownership of your content to Bridge the Gap Language Services, LLC.

3. Your Representations

By posting content in the BTG Spanish Community, you confirm that:

The content is your own and you have the right to share it

Your content does not infringe on the intellectual property, privacy, or other rights of any third party

You are at least 18 years of age

4. Right to Opt Out

If you do not wish to have your content used for promotional or marketing purposes, you may opt out by contacting us at hola@btgspanish.com prior to posting. Opting out does not affect your ability to participate in the community.

5. Community Guidelines and Code of Conduct

By creating an account, you agree to abide by the BTG Spanish Community Code of Conduct. The BTG Spanish Community is a judgment-free space to practice, grow, and connect with other adult Spanish learners who are ready to move beyond studying and start speaking. To keep this a place where everyone feels safe to try and grow, all members are expected to:

Show up with encouragement

Embrace mistakes — yours and others’

Respect every learner’s pace

Keep feedback kind and constructive

Protect the privacy of fellow members

Keep posts relevant to your Spanish learning journey

Discrimination, harassment, and spam will result in immediate removal from the community.

6. Third-Party Platform

The BTG Spanish Community is hosted by Circle. Your use of the Circle platform is also subject to Circle’s own terms of service and privacy policy. Bridge the Gap Language Services, LLC is not responsible for Circle’s platform policies, availability, or any changes Circle may make to its services.

7. Changes to These Terms

Bridge the Gap Language Services, LLC reserves the right to update these terms at any time. Members will be notified of material changes via email. Continued participation in the community following notification constitutes acceptance of the updated terms.

Learner Conduct and Limitation of Liability for Third-Party Behavior

Bridge the Gap Language Services, LLC is not responsible for the actions, conduct, or communications of any learner or third party within the BTG Spanish Community or in connection with program services. Each learner is solely responsible for their own conduct and interactions with other members.

Bridge the Gap Language Services, LLC does not guarantee that all members will comply with the BTG Spanish Community Code of Conduct at all times. In the event that a learner is found to have engaged in harassment, discrimination, or other conduct in violation of this Agreement or the Community Code of Conduct, Bridge the Gap Language Services, LLC will take reasonably appropriate action, which may include a warning, temporary suspension, or permanent removal from the program and community. However, Bridge the Gap Language Services, LLC shall not be liable for any harm, damages, or losses arising from the conduct of another learner, whether occurring before, during, or after any corrective action is taken.

By enrolling in BTG Spanish, you acknowledge and agree that interactions with other learners are at your own discretion and risk, and that Bridge the Gap Language Services, LLC’s ability to monitor all community activity in real time is limited.

 

Governing Law, Venue, & Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the State of Missouri, without regard to its conflict of laws principles. Any dispute, claim, or controversy arising out of or relating to this Agreement or the breach, termination, or validity thereof shall be brought exclusively in the state or federal courts located in Jackson County, Missouri. Each party irrevocably consents to the personal jurisdiction of such courts and waives any objection to the laying of venue in such courts.

 

Dispute Resolution

Before initiating any legal action, the parties agree to attempt to resolve any dispute, claim, or controversy arising out of or relating to this Agreement through good-faith negotiation. Either party may initiate this process by providing written notice to the other party describing the nature of the dispute and the relief sought. The parties shall have thirty (30) days from the date of such notice to attempt to resolve the dispute informally.

If the dispute is not resolved through negotiation within thirty (30) days, the parties agree to submit the dispute to non-binding mediation before a mutually agreed-upon mediator in Jackson County, Missouri, prior to initiating any litigation. The costs of mediation shall be shared equally by the parties.

If mediation does not resolve the dispute, either party may then pursue their claims in the courts identified in the Venue and Jurisdiction section above.

 

Limitation of Bringing Claims

To the fullest extent permitted by applicable law, any claim or cause of action arising out of or relating to this Agreement or the services provided hereunder must be filed within one 90 days after the claim or cause of action arose, regardless of any statute of limitations that might otherwise apply. Any claim not brought within this period shall be permanently barred.

 

Limitation of Liability

In no event shall Bridge the Gap Language Services, LLC be liable for any indirect, incidental, or consequential damages arising out of or related to this Agreement. The total liability of Bridge the Gap Language Services, LLC to the learner for any claim arising under this Agreement shall not exceed the total fees paid by the learner in the 90 days immediately preceding the event giving rise to the claim.

 

Termination of Contract

The Agreement ends when one of the parties chooses to end the agreement. Please refer to Cancellation Policy for information on how to terminate this agreemnt. If one of the parties chooses to end the Agreement, the Learner is responsible for paying for all services incurred up until that date.Â
